Practical updates for good governance
This year, eligible members are asked to vote on six resolutions relating to the CA ANZ By-Laws, with five additional resolutions for New Zealand voting members relating to the NZICA Rules.
Importantly, these proposals do not change CA ANZ's core purpose, governance structure or members' fundamental rights. Instead, they aim to keep our governing documents current, practical and fit for purpose, while ensuring they continue to support effective governance and member representation across Australia and New Zealand.
The proposals also seek to recognise the growing contributions of our profession by increasing the number of members who can be Life Members and enabling Life Members and Honorary Members to use the formal designations FCA (Life) and FCA (Honorary).

Voting is voluntary. However, all eligible members are encouraged to participate so that the outcome reflects the views of the membership and supports effective member governance.
Eligible members will receive their unique voting PIN and password directly from electionz.com. Unless you have opted to receive a hard copy letter, you will be sent an email from [email protected] with the subject line "CA ANZ 2026 Member Vote – voting is now open”. What members are being asked to consider
The Notice of Member Vote sets out the resolutions that eligible members are being asked to vote on, together with an Explanatory Memorandum that explains each resolution and the reasons for it. Members are encouraged to read the Notice of Member Vote before casting their vote.
The proposed amendments focus on:
- recognising outstanding member contributions;
- strengthening member representation and clarifying governance arrangements;
- refining conduct and disciplinary processes;
- modernising certain New Zealand membership and public practice requirements; and
- keeping the By-Laws and NZICA Rules clear, consistent and compliant with legislative requirements.
For all CA ANZ voting members
Eligible members are being asked to vote on six resolutions relating to the CA ANZ By-Laws.
The proposed changes can be summarised as follows:
- Resolution 1: Increasing maximum number of Life Members
Increase the maximum number of Life Members from 40 to 100 to reflect the growth of CA ANZ's membership. - Resolution 2: Recognising Members’ contributions to the profession
Life Members and Honorary Members would be able to use the designations FCA (Life) and FCA (Honorary) as a formal recognition of their contribution to the profession. - Resolution 3: Strengthening member representation and governance
Clarify election, meeting and voting procedures for Regional and Overseas Regional elections, and formally provide for the reimbursement of reasonable travel expenses for councillors attending council meetings. - Resolution 4: Refining conduct and disciplinary processes
Improve the operation of the conduct framework by establishing a clearer process for revoking interim orders once concerns have been addressed, clarifying when decisions take effect, and allowing disciplinary decisions to be delivered in stages depending on the complexity of the proceedings. - Resolution 5: Updating New Zealand governance arrangements
Update provisions relating to the New Zealand Council and Local Committees and align the By-Laws with proposed NZICA Rule changes, including replacing the former Non-Member Principal category with Affiliate Membership. - Resolution 6: Editorial and consequential amendments
Correct minor drafting and formatting issues and authorise the Board to make additional non-substantive changes required to ensure the By-Laws remain accurate and consistent.
For New Zealand resident voting members
Eligible New Zealand resident members are also being asked to vote on five resolutions relating to the NZICA Rules.
The proposed changes can be summarised as follows:
- Resolution 1: Modernising practice requirements and introducing Affiliate Membership
Modernise practice entity requirements by allowing greater flexibility in business structures, focusing on governance arrangements rather than ownership requirements, and introducing Affiliate Membership to replace the Non-Member Principal category. - Resolution 2: Refining conduct rules
Align the NZICA conduct framework with the proposed CA ANZ By-Law changes by clarifying disciplinary processes, confirming when decisions take effect, enabling members to apply to have interim orders lifted where the underlying concerns have been addressed, and allowing disciplinary decisions to be delivered in stages where proceedings are complex. - Resolution 3: Clarifying existing rules
Update and clarify provisions relating to Fellow eligibility, regulatory references and payment obligations for Practice Entities. - Resolution 4: Meeting legislative requirements
Update the Rules to enable the NZICA Regulatory Board to make future law-mandated changes without the need for a member vote. - Resolution 5: Administrative and editorial updates
Make minor drafting, formatting and housekeeping amendments and authorise the NZICA Regulatory Board to make any necessary consequential changes following the member vote.

All full financial CA ANZ members are eligible to vote on the proposed amendments to the CA ANZ By-Laws.
Full financial CA ANZ members resident in New Zealand, who are NZICA members, are also eligible to vote on the proposed amendments to the NZICA Rules.
Affiliate and Provisional Members are not eligible to vote but are welcome to review the proposed changes and attend the AGM.
How to vote
The Member Vote is being administered independently by electionz.com.
Eligible members will receive either:
- an email containing voting instructions and unique voting credentials; or
- if CA ANZ does not hold a valid email address for the member, a letter containing voting instructions.
Members will need the PIN and password supplied by electionz.com to access the electronic voting platform. Hard-copy ballot papers are also available by contacting [email protected].
Members may vote separately on each resolution. This means a member may vote for some resolutions and against others, vote for or against all resolutions, or choose not to vote on a particular resolution.

Members are encouraged to read the Notice of Member Vote and Explanatory Memorandum before voting.
Questions about the proposed resolutions or amendments may be submitted:
- through the AGM Attendee Hub after registering for the AGM; or
- by emailing [email protected]
Members will also have an opportunity to ask questions during the virtual AGM before voting closes.
Members do not need to attend the AGM to vote. Votes may be submitted at any time during the voting period.
When will the results be available?
Following the close of voting, electionz.com, as independent scrutineer, will examine the results within seven days. The results will then be published on the CA ANZ website.
